1. Agreement to Terms

By accessing and using Cryocept's lead generation services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Description of Service

Cryocept provides AI-powered lead generation and social media advertising services. Our platform identifies, qualifies, and delivers potential customers (leads) to businesses based on specified criteria and targeting parameters.

2.1 Service Offerings

• Lead identification and qualification
• Social media advertising and targeting
• CRM integration and data management
• Analytics and reporting services
• Custom lead scoring and filtering

3. Pricing and Payment

Our services are provided on a per-qualified-lead basis with the following pricing structure:

• Starter Package: $40 per qualified lead
• Professional Package: $50 per qualified lead
• Enterprise Package: $60 per qualified lead

Payment is due upon delivery of qualified leads. We reserve the right to modify pricing with 30 days written notice.

4. Lead Quality Standards

We guarantee that all delivered leads meet the following criteria:

• Verified contact information (email and/or phone)
• Match specified demographic and firmographic criteria
• Demonstrated interest or intent signals
• Compliance with applicable data protection regulations

5. Client Responsibilities

Clients agree to:

• Provide accurate targeting criteria and requirements
• Use leads in compliance with applicable laws and regulations
• Maintain confidentiality of proprietary lead generation methods
• Provide feedback on lead quality for service improvement
• Pay invoices within agreed-upon terms

6. Data Protection and Privacy

We are committed to protecting personal data and comply with applicable data protection laws including GDPR, CCPA, and other relevant regulations. All lead data is obtained through legitimate sources and processed in accordance with our Privacy Policy.

7. Intellectual Property

All proprietary algorithms, methodologies, and technologies used in our lead generation process remain the exclusive property of Cryocept. Clients receive a limited license to use delivered lead data for their business purposes only.

8. Limitation of Liability

Cryocept's liability is limited to the amount paid for services in the preceding 12 months. We are not liable for indirect, incidental, or consequential damages arising from the use of our services.

9. Service Level Agreement

We strive to deliver leads within agreed-upon timeframes. While we make every effort to meet delivery schedules, lead generation timelines may vary based on targeting complexity and market conditions.

10. Termination

Either party may terminate services with 30 days written notice. Upon termination, all outstanding invoices become immediately due, and access to proprietary systems will be revoked.

11. Compliance and Legal Requirements

Clients must use our services in compliance with:

• CAN-SPAM Act and similar anti-spam regulations
• Telephone Consumer Protection Act (TCPA)
• General Data Protection Regulation (GDPR)
• California Consumer Privacy Act (CCPA)
• All applicable local, state, and federal laws

12. Modifications to Terms

We reserve the right to modify these terms at any time. Clients will be notified of significant changes via email. Continued use of services after modifications constitutes acceptance of updated terms.

13. Governing Law

These terms are governed by the laws of Texas, United States. Any disputes will be resolved through binding arbitration in El Paso, Texas.
